Terms of Use

1. Scope and provider

These terms apply to your use of Verda. The provider and contracting party for the app services is hafencity.dev GmbH, Am Strandkai 8, 20457 Hamburg, Germany. Apple's terms additionally apply to downloads, in-app purchases, and subscription management through the Apple App Store.

2. Use without a traditional account

Verda can be used without an email address and password. The app associates your data with a pseudonymous installation identifier. This identifier is used in particular to synchronize app data, check the free allowance and subscription status, and prevent abuse. See the Privacy Policy for details.

3. Service and model selection

Verda provides AI chat with text, image, file, dictation, Memory, and impact features. Requests are sent through a backend to OpenRouter and the selected AI model. You can select a model option; Smart Mode may automatically determine a route based on the type and complexity of a request. Models, features, and providers may change where required for quality, safety, availability, cost, or sustainability goals.

4. AI-generated content

Answers, analyses, and images are generated automatically. They may be inaccurate, incomplete, outdated, misleading, or unsuitable for your purpose. Verify important results against reliable sources and do not make medical, legal, financial, or other safety-critical decisions solely on AI output. Verda is not a substitute for professional advice.

5. Your content

You retain your rights to text, images, and files you submit to Verda. For the duration of processing, you grant us the rights technically required to store your content, send it to the service providers and AI providers described in the Privacy Policy, analyze and transform it, and return results to you. You must hold the required rights and must not upload confidential data or third-party content without authorization. Whether rights arise in AI output or third-party rights are affected depends on the individual case and is not guaranteed by us.

6. Acceptable use

You may use Verda only lawfully and for legitimate purposes. In particular, you must not infringe third-party rights, promote criminal conduct, bypass safeguards, distribute malware, overload the service through automation, or manipulate security and cost controls. If we reasonably suspect abuse, we may temporarily block requests or restrict access where proportionate.

7. Free allowance

Verda may provide a limited allowance of successful free requests. Its scope and availability are displayed in the app. Reinstalling the app, performing a local reset, or repeating onboarding does not create a new allowance. Pseudonymous usage and anti-abuse records may be retained to prevent repeated free use.

8. Verda Pro and subscriptions

Verda Pro is offered as an auto-renewable monthly or annual subscription through Apple. The price, duration, and any available introductory offer shown in Apple's purchase confirmation immediately before purchase are controlling.

• Payment and subscription management are handled through your Apple ID.
• The subscription renews automatically unless you cancel it in Apple's subscription settings before the next renewal.
• Restore Purchases allows Verda to re-check an existing entitlement for the same Apple ID.
• Cancellation normally ends access at the end of the paid period. Apple handles refunds and payment questions under its applicable rules.

Pro provides ongoing access to Pro features but is not a flat-rate license for automated, abusive, or exceptionally cost-intensive use. A reasonable monthly background cost budget with warning and protection thresholds may apply. This budget is not a visible wallet and cannot be paid out or transferred. When a protection threshold is reached, individual or further requests may be rejected until the next budget period.

9. Impact figures and tree contributions

Energy and water figures are model-based estimates derived from technical usage data. They are not direct data-center measurements, scientific emissions reports, or guarantees of full offsetting. A tree is shown as co-funded or confirmed only when the corresponding funding has been confirmed in our records. Figures may be rounded or updated with a delay.

10. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, external AI providers, Apple services, network connections, or technical incidents may temporarily limit features. We may reasonably develop or replace features and models. Changes that materially affect the contractual balance will be communicated appropriately.

11. Suspension and termination

You may stop using Verda at any time and delete personal app data in Settings. An Apple subscription must also be canceled separately through Apple. We may temporarily suspend or terminate access for material or repeated breaches of these terms, security risks, or abusive use. Statutory rights and payment obligations already incurred remain unaffected.

12. Liability

We are liable without limitation for intent and gross negligence, injury to life, body, or health, and in other cases where liability is mandatory by law. For a slightly negligent breach of an essential contractual obligation, liability is limited to the typical damage foreseeable when the contract was entered into. Liability for other cases of slight negligence is excluded. Your obligation to reasonably verify AI output before important use remains unaffected.

13. Privacy and deletion

See our Privacy Policy for information about the processing and disclosure of personal data. Delete Data removes personal content from Verda but does not cancel an Apple-managed subscription. Certain purchase, cost, free-allowance, referral, and anti-abuse records may be retained separately for the reasons described in the Privacy Policy.

14. Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in another country, mandatory consumer protection rules of that country remain unaffected. Statutory rules determine jurisdiction.
